Terms of Sale & Service | ODGII Capsule House

Effective date: 2025‑01‑01

These Terms govern quotations, orders, delivery, installation and after‑sales service for ODGII space capsule houses and modular cabins (the "Products"). By placing an order, paying a deposit or using our services, you agree to these Terms.

1. Definitions

  • "Order": a written confirmation (including electronic) describing model, configuration, price, payment milestones, delivery terms and other specifics.
  • "Site": the installation location provided by the customer.
  • "You": the buyer or project owner placing an Order.

2. Quotation and ordering

  • Quotations are typically valid for a limited period stated on the quote.
  • Final specifications (model, modules, configurations, finishes and options) are confirmed in the Order. Drawings provided are for coordination and may be updated to reflect manufacturability.
  • An Order is accepted when we confirm receipt of the initial payment/deposit.

3. Pricing, taxes and additional charges

  • Prices are exclusive of taxes, duties, permits, site preparation, utility connections, cranage and special access works unless expressly stated.
  • Any additional costs arising from Site conditions (e.g., road closures, escorts, special lifting equipment) are at your expense unless agreed otherwise.

4. Payment terms

  • Unless otherwise agreed, payment is milestone‑based (e.g., deposit, production, pre‑shipment, delivery/installation).
  • Late payments may delay production and delivery schedules.

5. Delivery, risk and installation

  • Lead times are indicative and depend on model, configuration and production capacity.
  • You are responsible for Site readiness: foundations/pads, access roads and turning radii, crane or lifting access, utility stubs and permits. We can advise typical requirements.
  • Risk of loss passes upon delivery to Site or to carrier depending on the shipping term in the Order. You shall inspect upon delivery; visible damage must be recorded with the carrier and notified to us promptly.
  • If we provide installation, our scope will be defined in the Order. Delays caused by Site not being ready may incur stand‑by or re‑visit charges.

6. Changes and cancellations

  • Products are made‑to‑order. Changes after Order acceptance may affect price and schedule.
  • Cancellations are subject to compensation for actual costs incurred and a reasonable margin. Deposits may be non‑refundable once production or procurement has started.

7. Acceptance

Practical completion occurs when the Product is installed per Order scope and essential functions operate. A punch list (if any) will be addressed within a reasonable period.

8. Warranty and exclusions

  • We provide a limited warranty covering the structural shell, exterior finishes, windows/doors and core MEP components for a period stated in the Order or warranty card.
  • Exclusions include: misuse, neglect, improper Site preparation, unauthorized modifications, third‑party work, normal wear, force majeure (storms, floods, earthquakes, etc.) and consumables.
  • Remedies are repair or replacement of defective parts within a reasonable period. This is your sole and exclusive remedy.
  • To claim, notify us with Order details, photos/videos and a description of the issue. We may request inspection.

9. Returns and refunds

Due to custom manufacture, Products are not eligible for return except as required by applicable law. Refunds, if any, are limited to amounts paid for non‑delivered items or as provided under the warranty.

10. Compliance and permits

You are responsible for obtaining local approvals/permits and ensuring the Site and intended use comply with local codes and planning requirements. We can provide typical technical data upon request.

11. Intellectual property and marketing

  • We retain all intellectual property in designs, drawings, documentation and manufacturing methods. You may not reproduce our materials except for project coordination.
  • Unless you opt out in writing, we may photograph delivered Projects for portfolio and marketing, taking reasonable care to avoid sensitive information.

12. Limitation of liability

To the maximum extent permitted by law, we are not liable for indirect, consequential or special damages, loss of profits or use. Our aggregate liability is capped at the amounts paid under the relevant Order.

13. Force majeure

Neither party is liable for delays or non‑performance due to events beyond reasonable control, including natural disasters, strikes, epidemics, regulatory changes or transportation disruptions. Schedules will be adjusted accordingly.

14. Governing law and disputes

Governing law and dispute venue may be specified in the Order. Where not specified, mandatory consumer or commercial protections of your local jurisdiction apply.

15. Changes to these terms

We may update these Terms from time to time. Changes apply to Orders placed after the effective date unless otherwise agreed in writing.
